1. Parties
"StageSide", "we", "us" and "our" mean TalentZ Global Ltd., trading as StageSide, operator of stageside.com and associated mobile and web applications (the "Platform"). "You" and "User" mean any person or entity accessing or using the Platform.
2. Definitions
Talent — a User offering performance, speaking, creative or related services. Booker — a User seeking to engage Talent. Group — a collective of Talent represented by a single account. Agency — a User representing a roster of Talent. Offer — a structured proposal of price, currency, deposit and terms sent from Talent to Booker. Contract — the agreement formed between Booker and Talent when an Offer is accepted and both parties counter-sign. Platform Fee — StageSide's fee on confirmed Bookings (currently 5%).
3. Role of StageSide — facilitator only
StageSide is a neutral technology platform that enables Talent and Bookers to discover one another, communicate, exchange Offers and record Contracts. StageSide is not a party to any Booking, performance contract, employment relationship, or payment obligation between a Talent and a Booker. Talent provide services as independent contractors of the Booker, never of StageSide. We do not endorse, employ, hire, supervise, control or evaluate any User and make no representations about the suitability, reliability or capability of any User.
4. Eligibility & accounts
You must be at least 18 years old and able to enter into a binding contract. You agree to provide accurate, current and complete information and to keep it updated. One natural person may hold one account combining Talent, Booker and/or Group roles. Agency accounts use a separate signup. You are responsible for all activity under your account and for keeping credentials secure.
5. Listings & content
You grant StageSide a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, modify (for formatting), and distribute the content you upload, solely to operate and promote the Platform. You warrant that you own or have all necessary rights to the content you submit and that it does not infringe any third-party rights. We may remove content that violates these Terms, the Acceptable Use Policy or applicable law.
6. Bookings & contracts
Bookings are formed exclusively between Talent and Booker. Once an Offer is accepted and both parties counter-sign the resulting Contract in the Platform, the booking is binding between those parties on the Contract's terms. Cancellations are governed by the cancellation policy elected by the Talent and disclosed in the Offer. StageSide may but is not obliged to assist in cancellation or rescheduling logistics.
7. Fees
StageSide charges a Platform Fee of 5% on confirmed Bookings, added on top of the agreed Offer amount. Promoted profiles and featured event listings are charged separately at the rates published on the Pricing page. Tips sent via the Platform are pass-through with no Platform Fee. All Users are responsible for their own taxes, withholdings and reporting obligations.
8. Payments & tips
Payments and tips are processed via third-party payment processors. StageSide does not hold User funds in escrow unless expressly stated for a specific feature. You authorise the relevant processor to charge your payment method and to disburse funds to the recipient User. You agree to that processor's terms of service.
9. Reviews
Reviews may be posted only following a fully-signed Contract whose event date has passed. Reviews must be honest, first-hand and not contain unlawful, defamatory or harassing content. We may remove reviews that violate these standards.
10. Conduct & prohibited use
You agree not to: (a) circumvent the Platform to avoid the Platform Fee for a Booking that originated on StageSide; (b) harass, threaten, defame or discriminate against any User; (c) scrape, mirror or commercially redistribute Platform content; (d) impersonate another person or misrepresent your affiliation; (e) use the Platform for any unlawful purpose. 11. Disputes between Users
StageSide will use reasonable endeavours to assist with resolving disputes informally, including reviewing in-Platform evidence and mediating communications between the parties.
However, StageSide is not a court, arbitrator, employer, agent or guarantor. Any legal claim, contractual dispute, payment dispute, tax matter, employment dispute or liability between a Talent and a Booker (or their respective agencies) must be resolved between those parties externally to StageSide, including through their own legal counsel, mediation, arbitration or competent courts. StageSide is under no obligation to provide testimony, evidence beyond in-Platform records, or to take sides in any external proceeding.
12. Limitation of liability
To the maximum extent permitted by law: (i) the Platform is provided "as is" and "as available", without warranties of any kind, express or implied; (ii) TalentZ Global Ltd. is not liable for any indirect, incidental, special, consequential or punitive damages, lost profits, loss of data or loss of goodwill; (iii) our aggregate liability arising out of or relating to the Platform in any 12-month period is capped at the greater of (a) the total Platform Fees you paid to us in that period, or (b) GBP 100; (iv) we are not liable for the acts, omissions, content, contracts, performances or payments of any User. Nothing in these Terms excludes liability that cannot lawfully be excluded.
13. Indemnity
You will defend, indemnify and hold harmless TalentZ Global Ltd., its officers, directors, employees and agents from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to (a) your content; (b) your use of the Platform; (c) your breach of these Terms; (d) any Booking, Contract or interaction between you and another User.
14. Suspension & termination
We may suspend or terminate your account at our discretion if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or created risk for other Users or the Platform. You may close your account at any time. Provisions that by their nature should survive termination will survive (including fees due, indemnity, limitation of liability, governing law).
15. Privacy
Our handling of personal data is governed by the Privacy Policy, which forms part of these Terms.
16. Changes
We may update these Terms from time to time. For material changes we will provide at least 30 days' notice via in-Platform banner and/or email. Continued use of the Platform after the effective date constitutes acceptance.
17. Governing law & jurisdiction
These Terms are governed by the laws of England & Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer protection rights you may have in your country of residence.
